# Pixaro Terms of Service

Welcome to Pixaro. These Terms of Service ("Terms") govern your access to and use of the Pixaro mobile application ("App") and related services provided by Pixaro ("we," "us," or "our"). Please read these Terms carefully before using the App.
By creating an account or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the App.

## 1. Eligibility
### 1.1 Age Requirement
You must be at least **13 years old** to create an account and use Pixaro. We verify age during registration by requiring your date of birth. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you must have permission from a parent or legal guardian to use the App.
### 1.2 Account Registration
To use Pixaro's features, you must create an account using one of the following methods:
- Email address with password
- Sign in with Apple
- Sign in with Google
You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
### 1.3 Account Security
You are responsible for maintaining the security of your account credentials. You agree to:
- Keep your password confidential
- Not share your account with others
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
We are not liable for any loss or damage arising from unauthorized use of your account.

## 2. Description of Service
### 2.1 Overview
Pixaro is an AI-powered image and video editing application that provides:
- **AI Image Generation**: Create and edit images using AI models from multiple providers
- **AI Video Generation**: Create and edit videos using AI models
- **Aura ID**: AI profile feature using your uploaded photos for personalized generation
- **Content Management**: Store, organize, and share your created content
- **Cloud Sync**: Synchronize your content and settings across devices
### 2.2 AI-Powered Features
Pixaro integrates multiple third-party AI service providers to offer AI generation capabilities. These providers may change over time as we add, update, or remove providers to improve the service.
AI-generated content is produced by algorithms and may not always meet your expectations. Results may vary based on the model selected, prompts provided, and input images. We do not guarantee specific outcomes from AI generation.

## 3. Credits and Payments
### 3.1 Credit System
Pixaro uses a credit-based system for AI features:
- AI image and video generation requires credits
- Different AI models and settings consume different amounts of credits
- Credit costs are displayed before each generation
- Credits are deducted upon successful initiation of a generation request
### 3.2 Purchasing Credits and Subscriptions
Credits and subscriptions are available for purchase through Apple In-App Purchases. All transactions are processed by the Apple App Store and managed through RevenueCat.
- **Credit Packs**: One-time purchases of credit bundles
- **Subscriptions**: Recurring plans that include credit allocations and additional features
### 3.3 Pricing
Prices are displayed in your local currency as determined by the Apple App Store. We reserve the right to modify pricing for future purchases. Existing active subscriptions will be honored at the price at which they were purchased until renewal.
### 3.4 Refund Policy
All purchases are made through the Apple App Store. Refund requests must be submitted to Apple according to their refund policy. We do not process refunds directly.
**Credits are non-refundable once used.** If an AI generation fails due to a system error on our end, the credits spent on that generation will be automatically refunded to your account balance.
### 3.5 Subscription Cancellation
You may cancel your subscription at any time through your Apple App Store account settings. Upon cancellation:
- You retain access to subscription benefits until the end of the current billing period
- Unused credits from the current period remain available until the period ends
- No further charges will be made after the current period
- Your account reverts to free-tier access after the subscription period ends

## 4. User Content
### 4.1 Your Content
"User Content" includes any images, videos, text prompts, project files, Aura ID photos, and other materials you upload, create, or generate using the App.
### 4.2 Ownership of Your Content
**You retain ownership of your original content.** Specifically:
- **Input images**: You retain all rights to photos and images you upload to the App
- **Text prompts**: You retain rights to your original prompt text
- **Aura ID photos**: You retain all rights to your personal photos
### 4.3 AI-Generated Content
For content generated using AI features:
- You receive a **non-exclusive, worldwide, royalty-free license** to use, modify, reproduce, distribute, and display AI-generated content for personal and commercial purposes, subject to these Terms
- Ownership and licensing of AI-generated content may be subject to the terms of the underlying AI model providers
- You acknowledge that other users using similar prompts may receive similar AI-generated outputs
- You are responsible for ensuring your use of AI-generated content complies with applicable laws
### 4.4 License to Pixaro
By uploading or creating User Content, you grant Pixaro a limited, non-exclusive license to:
- **Store** your content on our servers for the purpose of providing the service
- **Process** your content through AI models as requested by you
- **Display** your content back to you and, if you choose to make it public, to other users based on your visibility settings
- **Cache** your content on content delivery networks for performance
- **Create thumbnails** of your content for display in the App
This license exists solely to operate and improve the service. We do not use your content for training AI models. We do not claim ownership of your content.
This license terminates when you delete your content or your account, except where retention is required by law.
### 4.5 Content Visibility
You control the visibility of your content through privacy settings:
- **Private**: Only visible to you
- **Followers**: Visible to your approved followers
- **Public**: Visible to all Pixaro users
You can additionally control whether your prompts, technical details, input images, and reference materials are visible when sharing content.
### 4.6 Content Responsibility
You are solely responsible for your User Content. You represent and warrant that:
- You own or have the necessary rights to all content you upload
- Your content does not infringe on any third party's intellectual property, privacy, or other rights
- Your content complies with these Terms and all applicable laws
- You have obtained consent from any identifiable individuals in photos you upload (including Aura ID photos)

## 5. Acceptable Use
### 5.1 Permitted Use
You may use Pixaro for personal, creative, and commercial image/video editing and generation purposes, subject to these Terms.
### 5.2 Prohibited Conduct
You agree **not** to use Pixaro to:
**Illegal and Harmful Content:**
- Generate, upload, or distribute child sexual abuse material (CSAM) or any sexual content involving minors
- Create non-consensual intimate or sexual imagery of real people (deepfakes)
- Generate content that promotes terrorism, violence, or self-harm
- Create content that constitutes harassment, bullying, or threats against individuals
- Produce content that violates any applicable law or regulation
**Deceptive and Fraudulent Use:**
- Create content intended to deceive or defraud (e.g., fake identity documents, counterfeit currency)
- Generate misleading content intended to interfere with elections or democratic processes
- Impersonate other individuals without their consent
- Create deceptive media intended to cause real-world harm
**Intellectual Property Violations:**
- Generate content that deliberately replicates copyrighted works
- Use the App to create infringing content at scale
- Remove or alter watermarks, attribution, or rights management information from others' content
**Platform Abuse:**
- Attempt to reverse engineer, decompile, or disassemble the App
- Circumvent, disable, or interfere with security features
- Use automated tools, bots, or scrapers to access the service
- Share, sell, or transfer your account or credits to others
- Exploit bugs, glitches, or errors for unintended advantage
- Create multiple accounts to abuse free credits or circumvent restrictions
- Attempt to access other users' data or content without authorization
- Interfere with the App's infrastructure or impose unreasonable load on our servers
### 5.3 Content Moderation
We reserve the right to:
- Review content that is flagged or reported
- Remove content that violates these Terms
- Suspend or terminate accounts that repeatedly violate these Terms
- Report illegal content to appropriate law enforcement authorities
- Cooperate with law enforcement investigations
### 5.4 Reporting Violations
If you encounter content or behavior that violates these Terms, please report it through the App or by contacting us at the address provided in Section 15.

## 6. Aura ID (AI Profile) Terms
### 6.1 What Aura ID Does
Aura ID allows you to upload personal photos that are used as reference images for AI-powered content generation, including avatar creation, face transformation, and personalized image generation.
### 6.2 Your Consent
By creating an Aura ID and uploading photos, you:
- **Consent** to the storage of your facial images on our cloud servers
- **Consent** to the transmission of your photos to third-party AI providers for processing
- **Acknowledge** that AI-generated results using your likeness may not be perfect or accurate
- **Confirm** that you are the person depicted in the photos, or have obtained explicit consent from the depicted person
### 6.3 Third-Party Processing
When you generate content using an Aura ID, your reference photos are sent to the selected AI provider for processing. These providers process the images solely to generate the requested output and are subject to their own privacy policies and data handling practices.
### 6.4 Photos of Others
If you upload photos of other people to Aura ID:
- You must have their **explicit, informed consent** to upload and process their photos through AI
- You are solely responsible for obtaining and maintaining this consent
- We may remove content and suspend accounts where consent has not been properly obtained
### 6.5 Deletion
You can delete any Aura ID profile at any time. Deletion removes:
- All associated photos from our cloud storage (S3)
- All metadata from our database
- Local cached copies from your device
Deletion is permanent and cannot be undone.

## 7. Intellectual Property
### 7.1 Our Intellectual Property
The App, including its design, interface, features, code, graphics, icons (excluding User Content and third-party AI provider branding), and documentation, is owned by Pixaro and protected by copyright, trademark, and other intellectual property laws.
### 7.2 Third-Party AI Providers
AI models and their outputs are subject to the respective terms and licenses of each AI provider. Pixaro integrates these models as a service and does not claim ownership of the underlying AI technology.
### 7.3 Limited License to You
We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purposes in accordance with these Terms. This license does not include the right to:
- Sublicense, sell, or redistribute the App
- Modify or create derivative works of the App
- Use the App's branding or trademarks without permission

## 8. Account Termination
### 8.1 Termination by You
You may delete your account at any time through the App's settings. Upon deletion:
- All your data, content, and Aura ID photos are permanently removed within 30 days
- Unused credits are forfeited
- Active subscriptions should be cancelled through the Apple App Store before account deletion
### 8.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms
- You engage in prohibited conduct (Section 5.2)
- Your account is involved in fraudulent activity
- Required by law or legal process
- We discontinue the service (with reasonable notice)
We will make reasonable efforts to notify you before termination, except where immediate action is required for safety or legal reasons.
### 8.3 Effect of Termination
Upon termination:
- Your license to use the App is revoked
- Your content is deleted from our servers within 30 days
- Unused credits and remaining subscription time are forfeited (unless termination is by us without cause)
- Provisions that by their nature should survive termination will survive (including Sections 4.2, 9, 10, 11, 12, and 13)

## 9. Disclaimers
### 9.1 "As Is" Service
THE APP AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE.
### 9.2 AI Output Disclaimer
We do not guarantee that AI-generated content will:
- Be accurate, complete, or error-free
- Meet your specific requirements or expectations
- Be free from bias or objectionable elements
- Be unique or original
- Be suitable for any particular purpose
You are responsible for reviewing and evaluating all AI-generated content before use.
### 9.3 Service Availability
We do not guarantee uninterrupted, secure, or error-free operation of the App. The service may be temporarily unavailable due to maintenance, updates, or factors beyond our control.
### 9.4 Third-Party Services
We are not responsible for the availability, accuracy, or performance of third-party AI providers, payment processors, or other external services integrated with the App.

## 10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- IN NO EVENT SHALL PIXARO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP
- OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
- WE ARE NOT LIABLE FOR ANY LOSS OF DATA, CONTENT, CREDITS, OR REVENUE ARISING FROM SERVICE INTERRUPTIONS, ACCOUNT TERMINATION, OR TECHNICAL FAILURES
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

## 11. Indemnification
You agree to indemnify, defend, and hold harmless Pixaro and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the App
- Your User Content
- Your violation of these Terms
- Your violation of any rights of a third party
- Your use of Aura ID with photos of others without proper consent

## 12. Dispute Resolution
### 12.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
### 12.2 Informal Resolution
Before filing any formal legal action, you agree to first contact us and attempt to resolve the dispute informally for at least 30 days.
### 12.3 Arbitration
Any dispute that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the State of Delaware or remotely via video conference, at your election.
### 12.4 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this waiver is found to be unenforceable, the entire arbitration provision shall be void.
### 12.5 Exceptions
The following disputes are exempt from arbitration:
- Claims that may be brought in small claims court
- Claims related to intellectual property infringement
- Emergency injunctive relief

## 13. General Provisions
### 13.1 Changes to Terms
We may modify these Terms at any time. When we make material changes, we will:
- Update the "Last Updated" date
- Notify you through the App or via email
- Provide at least 30 days' notice for material changes
Your continued use of the App after the effective date of changes constitutes acceptance. If you disagree with the changes, you must stop using the App and delete your account.
### 13.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pixaro regarding your use of the App.
### 13.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
### 13.4 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
### 13.5 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
### 13.6 Force Majeure
We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemic, government actions, or internet or infrastructure failures.

## 14. Apple-Specific Terms
As the App is distributed through the Apple App Store, the following additional terms apply:
- These Terms are between you and Pixaro, not Apple Inc.
- Apple has no obligation to provide maintenance, support, or warranty for the App
- Apple is not responsible for addressing any claims related to the App (product liability, legal compliance, intellectual property)
- Apple is a third-party beneficiary of these Terms and may enforce them against you
- You must comply with applicable third-party terms when using the App (e.g., wireless carrier agreements)
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not on any U.S. Government prohibited or restricted party list
